Cancellations, Renewals & Refunds
How to cancel services or subscriptions, request a refund and understand the difference between an initial charge, a payment hold and a completed charge.
Version 5 October 2026 · Applies to contracts incorporating this version
1. How to contact us
Contact Midori Ventures Ltd trading as Midoriweb at support@midoriweb.io or Avon House, Avonmore Road, Kensington, London, W14 8TS, United Kingdom. Include your name, Order/case reference and what you wish to cancel. A clear written statement is sufficient; using a particular form or making a telephone call is not a condition of statutory cancellation. Keep a copy. Any available account cancellation control may also be used.
We will confirm what ends, when it ends and any amount payable or refundable. Asking about cancellation is not treated as consent to a new commitment. Mandatory legal rights take priority over the business arrangements below.
2. Business services and project cancellations
Business purchases do not automatically carry a consumer cooling-off period. The agreed Order may provide a cancellation right. If you ask to end development or planned services early, you must pay for work properly completed and reasonable authorised commitments that cannot be cancelled, after deduction of costs we save or reasonably recover. We will explain the calculation; deposits are credited against it and any excess is refunded. We do not impose a punitive charge or automatically claim the entire unfinished project price.
For a business emergency case, once the initial service has commenced, the initial charge remains payable in full even if less than the included allowance is used. It pays for the agreed initial service, not a guaranteed successful repair. Before commencement, cancellation is assessed against any expressly agreed reservation commitment and actual reasonable loss, subject to the contract and law. If we decline the request or cannot supply the agreed service, we return payment for the unprovided service as required. Poor or non-conforming service remains subject to applicable remedies.
Extra time is worked only after approval and payment confirmation. An authorisation hold is not the same as a captured charge. We capture only the agreed charge for recorded usage within the approved limit and release the unused balance; release may not appear as a separate refund because it was not taken. Your bank controls when released funds become available. We cannot guarantee a bank processing time.
3. Module purchases and problems
For business module purchases, there is no general change-of-mind refund once the agreed licence or download has been supplied, unless the product offer or Order provides one. This does not remove remedies for failure to deliver, lack of a right to supply, misdescription or breach. Report a problem with the version, environment and reproducible symptoms; do not disclose credentials in ordinary email. We will investigate and offer the remedy required by the contract and applicable law.
A compatibility or licence-scope question should be raised before purchase. We do not refuse a valid claim simply because a file was downloaded or installed. Statutory consumer remedies for faulty or misdescribed digital content remain available even where a change-of-mind cancellation right has lawfully ended.
4. Subscriptions and renewals
Before an Order is accepted, it must state whether it renews automatically, the billing interval and price, any minimum term, what the subscription provides and how to cancel. Automatic renewal applies only where expressly agreed. Unless an Order lawfully specifies a different arrangement, cancellation received before the next renewal prevents that renewal and takes effect at the end of the current paid period. We do not require 30 days' notice by default.
Use an available account control or email us to cancel. We will provide any legally required renewal reminders and cancellation information. A price increase applies only to a future renewal after advance notice and an opportunity to cancel without paying the increase; it does not change a prepaid fixed term. A material change during a committed term needs agreement or an applicable lawful contractual right.
Ordinary business cancellation does not by itself refund a partly used paid subscription period. Refunds remain available where promised, where we materially fail to supply, or where required by law. At expiry, a subscription licence's use rights end; an updates/support plan for a perpetual licence ends those services but leaves the perpetual licence intact. Product-specific wording must clearly distinguish these models. Any additional mandatory subscription cancellation or renewal rights applicable to your contract take priority.
5. Consumer cooling-off rights
If you are a consumer buying at a distance and the statutory cancellation rules apply, you normally have 14 days after the contract is made to cancel a service or digital-content contract without giving a reason. If required cancellation information has not been provided, the period may be extended by law. The rules differ between services and digital content; the exceptions below require the relevant separate express agreement and cannot be created by a general “I agree to the terms” checkbox alone.
Services started early: we need your express request before starting during the cooling-off period. If you then cancel before full performance, you pay only the proportionate amount lawfully due for service supplied before cancellation, provided the required information and request were obtained. Your cancellation right is lost only when the service is fully performed after your prior express request/consent and acknowledgement that completion will end the right. Business initial-charge wording does not override this calculation.
Digital content supplied early: before a download or other supply starts during that period, we must obtain your express consent to immediate supply and acknowledgement that your cancellation right will be lost when supply begins, and provide the required confirmation in a form you can retain. Without the required steps, we will not rely on an automatic loss of that right. Cancelling a qualifying digital-content contract requires you to stop using and remove the supplied content, subject to law.
Where a statutory cancellation refund is due for these services or digital content, we will refund without undue delay and within 14 days after being informed of the cancellation, subject only to lawful deductions. We use the original payment method unless you expressly agree otherwise and do not charge a refund fee. Legal remedies for faulty content or services are separate from change-of-mind cancellation and remain available.
